Terms of Service

Last updated: November 2026

These terms apply when you use SpotWarp, the software and website at gpu-action.com, operated by ENPLABS VENTURES in Toronto, Canada. By installing the software, starting an evaluation or subscribing, you agree to them.

1. What SpotWarp Does

SpotWarp is a client that runs on your own computer. It copies a SaladCloud container's workspace to your computer in the background and, when a node is lost, restores the workspace to a replacement node and can restart your command. We do not rent, resell or hold GPU capacity. SaladCloud is a separate company, and your use of its service is under its own terms and billing.

2. Evaluation

SaladCloud users can evaluate SpotWarp for 14 days without a license key and without payment.

3. Subscriptions and Payment

A subscription is $49 per month or $490 per year, in US dollars, unless a discount shown at checkout applies. Subscriptions renew automatically at the end of each billing period until cancelled. Payment is handled by Stripe.

4. Cancellation and Refunds

You can cancel at any time. Your license stays active until the end of the period you have paid for. Refunds, including the 14-day guarantee on your first purchase, are described in our Refund & Cancellation Policy.

5. Your Responsibilities

You are responsible for your SaladCloud account and API key, for the data and commands you run, for keeping your own computer running and connected while protection is needed, and for all charges from SaladCloud. Keep your license key private. Do not use SpotWarp to break the law or to break SaladCloud's terms, and do not try to bypass license checks.

6. Backups and Recovery Are Not Guaranteed

SpotWarp reduces the risk of losing work, but it cannot prevent every loss. A backup or restore can fail, and files written after the last backup can be lost. Recovery time depends on your connection, the size of your workspace and whether a replacement node is available. Keep separate copies of anything you cannot afford to lose. The software is provided as is, to the extent the law allows.

7. Limit of Liability

To the extent the law allows, we are not liable for lost data, lost profits, compute charges or indirect damages, and our total liability is limited to the amount you paid us in the 12 months before the claim. Nothing here removes rights that the law says cannot be removed.

8. Data

Your workspace is copied between SaladCloud and your computer. It is not sent to us. What the software reports to us is described in our Privacy Policy.

9. Changes and Ending Service

We may update these terms by posting a new version on this page. We may suspend a license that is used in breach of these terms.

10. Governing Law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there.
